Official Terms & Conditions

Campaign Period: May 18, 2026 – June 21, 2026 | Effective Date: May 15, 2026

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.

SUBMISSION OF ANY ENTRY CONSTITUTES AGREEMENT TO THESE OFFICIAL TERMS & CONDITIONS AS A BINDING CONTRACT BETWEEN THE ENTRANT AND THE SPONSOR.

IMPORTANT: SECTION 16 OF THESE TERMS CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY.

1. Definitions

As used in these Terms and Conditions, the following terms have the meanings set forth below:

  • “Sponsor” or “Hashgraph”means Hashgraph Foundry Inc,with its principal place of business at 1920 McKinney Ave, STE 700, Dallas, TX 75201, United States, the legal entity organizing and funding this Bounty Campaign on behalf of the Hedera network. References to “Hedera” in these Terms refer to the Hedera network and its associated products, and not to a separate contracting entity.
  • “Administrator” means BlockyDevs and any other third-party service providers engaged by the Sponsor to assist in operating the Campaign, including hosting the Campaign website at ai-bounties.hedera.com.
  • “Campaign” means the Hedera AI Agent Bounty Campaign described herein, running from May 18, 2026 through June 21, 2026.
  • “Bounty” means each of the five (5) individual prize challenges (Bounties 1–5) and the one (1) Bonus Bounty offered during the Campaign.
  • “Entrant” or “Participant” means any individual or team that submits a valid entry to the Campaign in accordance with these Terms.
  • “Representative” means the individual designated by a team or organization to submit on its behalf and serve as the sole point of contact with the Sponsor.
  • “Submission” means all materials submitted by an Entrant in connection with a Bounty, including the GitHub repository, demo, project description, feedback, and any other required materials.
  • “HBAR” means the native cryptocurrency of the Hedera network. HBAR is a digital asset and is not a fiat currency, security, or investment instrument.
  • “Hedera Agent Kit” means the official Hedera Agent Kit software libraries available in JavaScript and Python, as published by Hashgraph at the official GitHub repositories.
  • “Campaign Website” means the official bounty hub hosted at https://ai-bounties.hedera.com.
  • “Judging Period” means the period from June 22, 2026 through July 12, 2026 during which Submissions are evaluated.

2. Sponsor and Administrator Identification

The Sponsor is solely responsible for the administration, judging, and prize disbursement of this Campaign. The Administrator provides technical infrastructure and operational support. Any questions, disputes, or claims must be directed to the Sponsor, not the Administrator.

3. Eligibility

3.1 General Eligibility

To be eligible to participate in the Campaign, each Entrant (and each member of a team) must, at the time of Submission:

  • Be at least eighteen (18) years of age;
  • Be a legal resident of, or legally incorporated or operating in, a jurisdiction that is not a Prohibited Jurisdiction (as defined in Section 3.2 below);
  • Have legal capacity to enter into a binding contract;
  • Not be an employee, officer, director, agent, or contractor of the Sponsor, the Administrator, or any of their respective affiliates, subsidiaries, or parent companies;
  • Not be an immediate family member (spouse, parent, sibling, child) or household member of any such employee, officer, director, agent, or contractor;
  • Not serve as a judge for this Campaign or be a household or family member of any judge;
  • Not have received financial or preferential support from the Sponsor or Administrator for the development of the submitted project.

3.2 Prohibited Jurisdictions

Residents of, nationals of, and entities incorporated in or operating from the following jurisdictions are NOT eligible to participate:

  • Russia and the Crimea, Donetsk and Luhansk region of Ukraine
  • Cuba
  • Iran
  • North Korea (Democratic People’s Republic of Korea)
  • Syria
  • Belarus
  • People’s Republic of China
  • Afghanistan
  • Burma (Myanmar)
  • Central African Republic
  • Democratic Republic of the Congo
  • Ethiopia
  • Iraq
  • Lebanon
  • Libya
  • Nicaragua
  • Somalia
  • South Sudan
  • Sudan
  • Venezuela
  • Yemen
  • Any other country, territory, or region subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or His Majesty’s Treasury of the United Kingdom
  • Any jurisdiction where participation in promotional contests or receipt of cryptocurrency prizes is prohibited by applicable law

Participation by residents of jurisdictions not listed above is subject to all applicable local laws. Entrants are solely responsible for ensuring that their participation complies with the laws of their jurisdiction.

3.3 Verification of Eligibility

By submitting an entry, each Entrant (and each member of a team) represents and warrants that they meet all eligibility requirements. The Sponsor reserves the right to require any Entrant to provide documentary proof of eligibility, including but not limited to government-issued identification and proof of residence, prior to the disbursement of any prize. Failure to provide satisfactory proof of eligibility within ten (10) business days of request will result in disqualification and forfeiture of any prize.

3.4 Teams and Organizations

Teams and organizations may participate. Teams must designate one (1) authorized Representative who meets all individual eligibility requirements. The Representative is solely responsible for submitting the entry and receiving communications from the Sponsor. All prizes will be disbursed to the wallet address designated by the Representative at time of submission. The Sponsor bears no responsibility for any disputes between team members regarding the allocation of prizes.

4. Campaign Period & Schedule

4.1 Overall Campaign Window

The Campaign runs from 9:00 AM UTC on Monday, May 18, 2026 through 11:59 PM UTC on Sunday, June 21, 2026 (the “Submission Period”). Submissions received outside the applicable Submission Window for a given Bounty will not be considered.

4.2 Weekly Bounty Schedule

Each Bounty opens on a Monday at 9:00 AM UTC and closes on the following Sunday at 11:59 PM UTC. The schedule is as follows:

4.3 Key Campaign Dates

  • May 15, 2026 – Campaign officially announced; Campaign Website goes live

5. Submission Requirements

5.1 Mandatory Submission Components

To be considered for any Bounty, each Submission must include ALL of the following:

(a) Public GitHub Repository:A publicly accessible GitHub repository containing the Submission’s source code. The repository must: (i) remain public and online for a minimum of ninety (90) days following the applicable Submission deadline; (ii) contain a commit history demonstrating that either the entirety of the software, or the agentic features being submitted, were created during the Campaign period (May 18, 2026 through the applicable weekly deadline); (iii) include a README file with clear instructions describing what the agent does and how to use it; and (iv) use the Hedera Agent Kit (JavaScript or Python) as a core dependency.

(b) Public Demo: Either (i) a video posted publicly on X (Twitter) demonstrating the agent in operation, or (ii) a live, publicly accessible hosted URL where users can interact with the agent directly. Bounties 3, 4, and 5 require a hosted agent URL; a video-only submission will not qualify for these Bounties. All X posts must mention both @hedera and @hedera_devs X handles. The demo or hosted agent must remain publicly accessible for a minimum of ninety (90) days following the applicable Submission deadline.

(c) Feedback Submission: One (1) piece of substantive feedback submitted as a GitHub Issue to either the Hedera Agent Kit JavaScript repository (https://github.com/hashgraph/hedera-agent-kit-js/issues) or the Python repository. Feedback may include bug reports, feature requests, documentation improvements, or other substantive observations. A link to the submitted GitHub Issue must be included in the Submission form. Submissions without a valid feedback link will be disqualified.

(d) Completed Submission Form: A fully completed submission form via the Campaign Website, including all required fields: public project name, project description, project summary, GitHub URL, demo URL or X post URL, wallet address for prize disbursement, project implementation details, and feedback link.

5.2 Bounty-Specific Requirements

In addition to the Mandatory Submission Components, each Bounty has specific technical requirements as published on the Campaign Website. Entrants are solely responsible for reviewing and satisfying all bounty-specific requirements prior to submission. The Sponsor reserves the right to disqualify any Submission that does not meet the stated bounty-specific requirements.

5.3 Language Requirement

All Submission materials, including the README, project description, demo video, and any supporting documentation, must be in English or include a complete English-language translation.

5.4 One Submission Per Entrant

Each Entrant (individual or team) may submit only one (1) Submission per Campaign and may only be considered for one (1) Bounty. Duplicate submissions, or submissions entered across multiple Bounties, will be automatically disqualified. All Submissions are automatically considered for the Bonus Bounty without requiring a separate submission.

5.5 Git History Requirement

Repositories that show a small number of commits of large sets of files—indicating that code was developed outside the Campaign period and bulk-uploaded—will be presumed ineligible unless the Entrant can provide satisfactory evidence to the contrary. The Sponsor’s determination on this matter is final.

6. Intellectual Property

6.1 Ownership of Submissions

Entrants retain all intellectual property rights in and to their original Submissions. These Terms do not transfer ownership of any Submission to the Sponsor or Administrator.

6.2 License Grant to Sponsor

By submitting an entry, each Entrant (and, for teams, each team member) grants the Sponsor and its affiliates a worldwide, royalty-free, non-exclusive, sublicensable, perpetual license to: (i) display, reproduce, publish, and share the Submission and related materials (including screenshots, demo videos, and descriptions) for marketing, promotional, educational, and press purposes; (ii) reference the Submission and Entrant’s name or team name in connection with the Campaign; and (iii) fork or copy the public GitHub repository into the Sponsor’s ecosystem repositories (such as awesome-hedera) for archival and community reference purposes. This license does not grant the Sponsor the right to commercialize the Submission as a standalone product without the Entrant’s separate written consent.

6.3 Representations and Warranties Regarding IP

Each Entrant represents and warrants that:

  • The Submission is the Entrant’s (or team’s) original work product;
  • The Entrant is the sole owner of all intellectual property rights in the Submission, or has obtained all necessary licenses and permissions from third parties whose materials are incorporated;
  • The Submission does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party;
  • The Submission does not violate any applicable law or regulation;
  • Any open-source components used in the Submission comply with their respective license terms, including any copyleft obligations (such as GPL, LGPL, or AGPL) that may apply to the Submission or its distribution; and the use of AI-assisted or AI-generated code is permitted, provided that the Entrant takes responsibility for reviewing, testing, and warranting such code as their own work and complies with all applicable license terms of the AI tool used;
  • The Submission was not developed with financial or preferential support from the Sponsor or Administrator.

6.4 Third-Party Components

Use of open-source software (including copyleft-licensed software), publicly available APIs, third-party plugins, AI-generated code, and other licensed materials is permitted, provided the Entrant complies with all applicable license terms and clearly identifies such third-party components in the Submission’s README. The Sponsor reserves the right to disqualify any Submission that includes third-party materials used in violation of their license terms.

7. Prizes and Prize Disbursement

7.1 Available Prizes

The following prizes are available in this Campaign. All prize amounts stated in USD are for reference only; prizes are paid exclusively in HBAR at the conversion rate described in Section 7.2.

  • Bounty 1 — Fun Basic Hedera Agent: USD $500 equivalent in HBAR
  • Bounty 2 — Enterprise Agent + Plugin: USD $750 equivalent in HBAR
  • Bounty 3 — MCP or x402 Agent: USD $1,000 equivalent in HBAR
  • Bounty 4 — Hedera Commerce Agent: USD $1,000 equivalent in HBAR
  • Bounty 5 — Hedera Policy Agent: USD $1,500 equivalent in HBAR
  • Bonus Bounty — Best Application of Industry Standards: USD $250 equivalent in HBAR

Total Campaign prize pool: USD $5,000 equivalent in HBAR.

7.2 HBAR Conversion Rate

All prizes will be disbursed in HBAR. The number of HBAR to be disbursed will be calculated using the 30-day volume-weighted average price (VWAP) of HBAR/USD as published by CoinGecko (https://www.coingecko.com) for the thirty (30) calendar days immediately preceding the date of winner announcement (on or around July 13, 2026). The Sponsor will publish the applicable conversion rate on the Campaign Website at the time of winner announcement.

7.3 Cryptocurrency Volatility Disclaimer

HBAR IS A DIGITAL ASSET WHOSE VALUE MAY FLUCTUATE SIGNIFICANTLY. The USD-equivalent value of any HBAR prize at the time of actual disbursement may be materially higher or lower than the USD-equivalent value at the time the conversion rate is calculated or the prize is announced. The Sponsor makes no representation or warranty regarding the future value of HBAR. By participating in this Campaign, each Entrant acknowledges and accepts this volatility risk. HBAR prizes are not a financial instrument, investment, security, or currency, and receipt of HBAR does not create any investment or financial relationship with the Sponsor.

7.4 Prize Disbursement

Prizes will be disbursed to the Hedera wallet address designated by the Entrant in the Submission form within ninety (90) days of the winner announcement date. The Entrant is solely responsible for providing a valid, correct, and HBAR-compatible wallet address. The Sponsor will disburse the prize to the submitted wallet address and bears no responsibility for: (i) prizes sent to an incorrect wallet address provided by the Entrant; (ii) prizes that become inaccessible due to lost private keys, wallet issues, or any other reason within the Entrant’s control; or (iii) any blockchain network issues or delays beyond the Sponsor’s reasonable control. Once a transaction is broadcast to the Hedera network, the Sponsor’s obligation is fulfilled regardless of whether the Entrant successfully receives or accesses the funds.

7.5 Tax Obligations

Each Entrant is solely responsible for all income taxes, withholding taxes, capital gains taxes, value-added taxes, and any other taxes or duties imposed by any governmental authority in connection with the receipt of a prize. The Sponsor may be required by applicable law to collect tax identification information from prize winners. Prior to disbursement of any prize, the Sponsor may require: (i) U.S. persons to complete IRS Form W-9; (ii) non-U.S. persons to complete IRS Form W-8BEN or W-8BEN-E; or (iii) residents of other jurisdictions to provide equivalent tax documentation. Failure to provide required tax documentation within ten (10) business days of request will result in forfeiture of the prize. The Sponsor will issue applicable tax forms (e.g., IRS Form 1099-MISC for U.S. prize winners) as required by law. The Sponsor strongly recommends that Entrants consult their own tax advisor regarding the tax treatment of any prize received.

7.6 Prize Limitations

No Entrant (whether an individual, team, or organization) may be awarded more than one (1) prize across all Bounties in this Campaign. If an Entrant’s Submission qualifies for multiple prizes, only the highest-value prize will be awarded; the Entrant may receive an honorable mention for other qualifying Submissions without additional monetary reward. Prizes are non-transferable and may not be substituted, except that the Sponsor reserves the right to substitute a prize of equal or greater value if the originally offered prize becomes unavailable.

7.7 Prize Forfeiture

Winner Notification. Following the winner announcement, the Sponsor will contact each winner using the email address and other contact information provided in the winner’s Submission form. Prior to disbursing the full prize amount, the Sponsor will conduct a test transfer to the wallet address provided in the Submission form to confirm that the address is valid and accessible by the winner. The winner must respond to the Sponsor’s outreach and successfully complete the test transfer confirmation process within thirty (30) calendar days of the Sponsor’s first notification attempt (the “Response Window”). Prize Forfeiture. If the Sponsor is unable to contact a winner, or a winner fails to complete the test transfer confirmation process, within the Response Window, the prize will be permanently forfeited and will not be disbursed. No alternate winner will be selected. Forfeited prize amounts will be retained by the Sponsor. A prize will also be forfeited if: (i) a winner fails to provide required eligibility documentation or tax information within the specified time; (ii) a winner is determined to be ineligible; or (iii) a winner declines the prize. The Sponsor bears no responsibility for any failure of notification arising from an incorrect or inactive email address provided in the Submission form. The Sponsor does not provide tax or legal advice; Entrants are solely responsible for their own tax and legal obligations in connection with any prize received.

8. Agent Safety, Financial Risk, and User Protection

8.1 Agent Safety Requirements

All submitted agents must be designed and implemented such that it is technically impossible for the agent to access, use, transfer, or drain a user’s funds without that user’s explicit prior consent and approval for each transaction. Specifically:

  • Agents deployed on Hedera Mainnet must implement a human-in-the-loop approval flow or equivalent safeguards that require explicit user authorization before any transaction that transfers funds is executed;
  • Agents must not present misleading information to users to induce transactions;
  • Agents must not engage in any behavior that could constitute fraud, unauthorized fund access, or financial harm to any user or third party;
  • Agents must implement reasonable safeguards against misuse, including but not limited to transaction limits, policy controls, and access restrictions where appropriate.

The Sponsor reserves the right to disqualify any Submission whose agent, in the Sponsor’s sole judgment, poses an unreasonable risk of financial harm to users.

8.2 Disclaimer Regarding Agent Interactions

THE SPONSOR IS NOT RESPONSIBLE FOR ANY FINANCIAL LOSS, DATA LOSS, OR OTHER HARM SUFFERED BY ANY PERSON WHO INTERACTS WITH A PARTICIPANT-SUBMITTED AGENT. The Sponsor does not endorse, verify, or warrant the safety, reliability, or fitness for purpose of any Submission. Entrants are solely responsible for the design, operation, and any consequences arising from their submitted agents. Any users who choose to interact with Submission agents do so entirely at their own risk.

9. Judging

9.1 Qualifying Requirements

To be eligible for judging, a Submission must satisfy all of the following minimum qualifying requirements:

  • A public GitHub repository with commit history demonstrating development during the applicable Campaign period;
  • A public demo (hosted agent URL or X post video) that meets the requirements of the applicable Bounty;
  • A submitted GitHub Issue providing feedback on a Hedera AI Studio tool;
  • Use of the Hedera Agent Kit (JavaScript or Python) or Hedera Payments MCP as the core technology;
  • Entrant’s residence in a qualifying jurisdiction and age of at least eighteen (18) years.

9.2 Scoring Criteria

Qualifying Submissions will be evaluated on the following criteria:

9.3 Judges

Submissions will be evaluated by a panel of judges designated by the Sponsor, which may include Hashgraph employees, BlockyDevs representatives, and/or independent technical evaluators. The identities of the judges will be published on the Campaign Website. All judges are subject to the conflict-of-interest restrictions described in Section 3.1. The decisions of the judges are final and binding in all respects.

9.4 Tie-Breaking

In the event of a tie in scoring between two or more Submissions, the Submission with the higher score in the “Use of AI Studio” criterion will prevail. If a tie persists, the Submission with the higher “Technical Quality” score will prevail. If a tie still persists, the judges will make a final determination at their sole discretion.

9.5 Bonus Bounty Criteria

The Bonus Bounty — Best Application of Industry Standards — will be awarded in the judges’ sole discretion to the Submission, across all five Bounties and the entire Campaign period, that most exemplifies the application of recognized industry best practices. Judges will consider factors including, but not limited to: adherence to security best practices (e.g., input validation, key management, least-privilege access); code quality and documentation standards; responsible disclosure of limitations or risks; and alignment with established software engineering and AI safety principles. All Submissions are automatically considered for the Bonus Bounty and no separate submission is required.

10. Privacy and Data Collection

10.1 Data Collected

In connection with this Campaign, the Sponsor and Administrator collect the following categories of personal data from Entrants:

  • Identification data: full legal name, public display name
  • Contact data: email address, Discord handle, X (Twitter) username, other contact information provided
  • Location data: country of residence
  • Blockchain data: Hedera wallet address
  • Submission data: GitHub repository URL, project description, demo URL, project image, implementation details, feedback link
  • Automatically collected data: submission timestamp

10.2 Purpose and Legal Basis

Personal data is collected and processed for the following purposes:

  • Administration of the Campaign, including eligibility verification, judging, and prize disbursement;
  • Compliance with applicable tax laws and regulations;
  • Publication of winning and participating Submissions on the Campaign Website and in Sponsor’s marketing and promotional materials (public-facing fields only, as disclosed in the Submission form);
  • Communication with Entrants regarding their Submissions and the Campaign;
  • Improving the Hedera Agent Kit and related AI Studio products based on submitted feedback.

10.3 Processor Role

For purposes of applicable data protection laws, including the GDPR where applicable, the Sponsor acts as the controller of personal data processed in connection with the Campaign.

The Administrator processes personal data on behalf of the Sponsor as a processor/service provider for the limited purpose of providing Campaign-related technical infrastructure, website hosting, submission management, operational support, and related services. The Administrator will process personal data only on documented instructions from the Sponsor, unless otherwise required by applicable law.

10.4 Data Sharing

Personal data may be shared with: (i) the Administrator (BlockyDevs) for Campaign infrastructure and operations; (ii) the Sponsor’s legal, financial, and tax advisors as necessary for prize disbursement and compliance; and (iii) applicable governmental or tax authorities as required by law. The Sponsor does not sell personal data to third parties.

10.5 Data Retention

Personal data will be retained for as long as necessary to administer the Campaign, disburse prizes, and comply with applicable legal and tax obligations. Following the conclusion of all Campaign obligations, personal data will be retained for a period not to exceed three (3) years, after which it will be securely deleted or anonymized, unless a longer retention period is required by law.

10.6 Rights of Data Subjects

Depending on your jurisdiction of residence, you may have rights under applicable data protection law, including: the right to access, correct, or delete your personal data; the right to object to or restrict processing; and, where applicable, the right to data portability. To exercise these rights, contact the Sponsor at the address provided in Section 2. Entrants in the European Union or European Economic Area: data processing for this Campaign is conducted on the legal bases of contractual necessity (Art. 6(1)(b) GDPR) and legitimate interests (Art. 6(1)(f) GDPR).

10.7 International Data Transfers

The Sponsor is a U.S. entity and personal data collected in connection with this Campaign will be transferred to and processed in the United States. For Entrants located in the European Union, European Economic Area, or United Kingdom, such transfers are made pursuant to appropriate safeguards as required under applicable data protection law, including where applicable the use of Standard Contractual Clauses approved by the European Commission or equivalent mechanisms under UK GDPR. Entrants who wish to obtain further information about the applicable transfer mechanisms may contact the Sponsor at the address provided in Section 2.

10.8 California Residents (CCPA/CPRA)

If you are a California resident, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) may afford you additional rights regarding your personal information, including: (i) the right to know what personal information is collected, used, disclosed, or sold; (ii) the right to delete personal information, subject to certain exceptions; (iii) the right to correct inaccurate personal information; (iv) the right to opt out of the sale or sharing of personal information; and (v) the right to non-discrimination for exercising your privacy rights. The Sponsor does not sell personal information collected in connection with this Campaign. To exercise your California privacy rights, contact the Sponsor at developer-relations@hashgraph.com with the subject line “California Privacy Request.”

10.9 Relationship to Hashgraph Privacy Policy

The collection and processing of personal data in connection with this Campaign is also subject to the Sponsor’s general Privacy Policy, available at https://www.hashgraph.com/privacy-policy/. In the event of any conflict between Section 10 of these Terms and the general Privacy Policy with respect to Campaign-specific data processing, Section 10 of these Terms shall control. By participating in the Campaign, Entrants acknowledge that they have reviewed the Sponsor’s Privacy Policy.

11. Indemnification

Each Entrant agrees to defend, indemnify, and hold harmless the Sponsor, the Administrator, and their respective officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) the Entrant’s participation in the Campaign; (ii) the Entrant’s Submission, including any claim that the Submission infringes the intellectual property rights or other rights of any third party; (iii) any financial harm, data loss, or other damage caused by or arising from the Entrant’s submitted agent to any user or third party; (iv) any breach by the Entrant of these Terms; or (v) any misrepresentation made by the Entrant in connection with the Campaign.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE INDEMNIFIED PARTIES SHALL NOT BE LIABLE TO ANY ENTRANT OR THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS CAMPAIGN, INCLUDING BUT NOT LIMITED TO: (i) TECHNICAL FAILURES, ERRORS, OR INTERRUPTIONS IN THE CAMPAIGN WEBSITE OR SUBMISSION SYSTEM; (ii) ERRORS IN JUDGING OR PRIZE CALCULATION; (iii) LOSS OF DATA OR SUBMISSIONS; (iv) INABILITY TO DISBURSE PRIZES DUE TO REGULATORY OR LEGAL CONSTRAINTS; (v) FLUCTUATIONS IN THE VALUE OF HBAR; (vi) ANY FINANCIAL HARM CAUSED BY PARTICIPANT-SUBMITTED AGENTS; OR (vii) ANY OTHER CAUSE BEYOND THE SPONSOR’S REASONABLE CONTROL. IN NO EVENT SHALL THE SPONSOR’S TOTAL AGGREGATE LIABILITY TO ALL ENTRANTS EXCEED THE TOTAL PRIZE POOL OF USD $5,000.

13. Prohibited Submissions

The following types of Submissions are prohibited and will result in immediate disqualification:

  • Submissions that violate any applicable law or regulation;
  • Submissions that infringe the intellectual property rights, privacy rights, or other rights of any third party;
  • Submissions that contain malicious code, malware, exploits, or any functionality designed to harm users or systems;
  • Submissions that were developed with financial or preferential support from the Sponsor or Administrator;
  • Submissions that present a real or apparent conflict of interest with the Sponsor, Administrator, or any judge;
  • Submissions that include false, misleading, or fabricated functionality or results;
  • Submissions from Entrants in Prohibited Jurisdictions or who otherwise fail to meet eligibility requirements;
  • Submissions that violate the X (Twitter) platform’s Terms of Service in connection with the required social media posts.

14. Sponsor’s Right to Modify, Suspend, or Cancel

The Sponsor reserves the right, in its sole discretion, to: (i) modify, amend, or supplement these Terms at any time by posting the updated Terms on the Campaign Website; (ii) extend, shorten, suspend, or cancel the Campaign or any individual Bounty at any time, with or without notice, due to technical failures, fraud, regulatory developments, force majeure events, or any other cause; (iii) disqualify any Entrant who tampers with the submission process, engages in fraudulent activity, or violates these Terms; and (iv) modify Submission materials post-submission for the limited purposes described in Section 5.1 of these Terms (removing infringing, identifying, or inappropriate material). Entrants agree that the Sponsor’s exercise of these rights shall not give rise to any claim or cause of action.

15. Force Majeure

The Sponsor shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, governmental actions or regulations, civil unrest, terrorist acts, blockchain network failures or forks, regulatory restrictions on cryptocurrency, cyber attacks, or failures of third-party infrastructure providers. In the event of a force majeure event, the Sponsor may, in its discretion, extend deadlines, suspend the Campaign, or cancel the Campaign entirely without liability to Entrants.

16. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

16.1 Governing Law

These Terms and any dispute arising out of or in connection with this Campaign shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

16.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, the parties agree to attempt to resolve any dispute informally by contacting the Sponsor in writing at the address provided in Section 2. The parties will attempt to negotiate in good faith for a period of thirty (30) days from the date of written notice. If the dispute is not resolved within thirty (30) days, either party may proceed to arbitration as provided below.

16.3 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Campaign or these Terms that is not resolved informally shall be resolved by final and binding individual arbitration, rather than in court. The arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules and Procedures (available at https://www.jamsadr.com), as modified by these Terms. The arbitration will be conducted in English, in the State of Delaware, or by videoconference at the election of either party. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MULTI-PARTY PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

16.5 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Entrants in jurisdictions where mandatory arbitration is prohibited by law are not subject to the arbitration provision in Section 16.3, but remain subject to the governing law in Section 16.1 and the class action waiver in Section 16.4 to the extent permitted by law.

16.6 Time Limitation on Claims

Any claim arising out of or relating to this Campaign must be brought within one (1) year of the date on which the claim accrued, or it is permanently barred.

17. General Provisions

17.1 Entire Agreement

These Terms, together with any bounty-specific requirements published on the Campaign Website, constitute the entire agreement between the Entrant and the Sponsor with respect to this Campaign and supersede all prior agreements, representations, and understandings. Participation in this Campaign is also subject to the Sponsor’s general Terms of Service (available at https://www.hashgraph.com/terms-of-service/) to the extent not inconsistent with these Campaign Terms; in the event of any conflict between these Campaign Terms and the general Terms of Service with respect to Campaign-specific matters, these Campaign Terms shall control.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

17.3 No Waiver

The Sponsor’s failure to enforce any provision of these Terms shall not constitute a waiver of the Sponsor’s right to enforce that provision at any time.

17.4 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the Entrant and the Sponsor or Administrator.

17.5 No Assignment

Entrants may not assign or transfer any rights or obligations under these Terms without the Sponsor’s prior written consent. The Sponsor may assign these Terms without restriction.

17.6 Publicity Consent

By accepting a prize, each winner consents to the Sponsor’s use of the winner’s name, likeness, team name, project name, and project description for promotional and marketing purposes in connection with the Campaign, without additional compensation, unless prohibited by applicable law.

17.7 Relationship with X (Twitter)

This Campaign is not sponsored, endorsed, administered by, or associated with X Corp. or the X platform (formerly Twitter). By participating, Entrants release X Corp. from any and all liability in connection with this Campaign. Any required X posts must comply with X’s Terms of Service and Community Guidelines.

17.9 Effective Date and Amendments

These Terms are effective as of May 15, 2026. The Sponsor reserves the right to amend these Terms at any time. The most current version of the Terms will be posted on the Campaign Website. Continued participation in the Campaign following any amendment constitutes acceptance of the amended Terms.

18. Acknowledgment

By submitting an entry to the Hedera AI Agent Bounty Campaign, the Entrant acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
